Abstract: In order to more fully understand how firms are actually governed, we need better theories and empirical research of how outside directors gain a seat on the board. Unfortunately, very little theory or research has been advanced to understand how this recruitment and selection process operates. The panelists in this session will discuss their own research studies into this mysterious process, and the audience will be invited to participate in a subsequent discussion on how to move this research stream forward. It is hoped that this session can serve as a loose alliance of scholars that support and challenge each other to better understand how and why outside directors gain seats on corporate boards.
